1. Acceptance of Terms

By accessing and using ScriptShifu's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

ScriptShifu provides IT software solutions and services including but not limited to:

• Custom software development
• Web and mobile application development
• Cloud solutions and infrastructure
• DevOps and automation services
• UI/UX design services
• IT consulting and advisory services
• Maintenance and support services

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account and passwords
• Use the services in compliance with applicable laws
• Not attempt to reverse engineer or hack our systems
• Respect intellectual property rights
• Pay all fees and charges in a timely manner

4. Payment Terms

Payment terms are as follows:

• Projects require a deposit before work begins
• Milestone payments are due upon completion of agreed deliverables
• Final payment is due upon project completion
• Late payments may incur additional charges
• All fees are non-refundable unless otherwise specified

5. Intellectual Property

Intellectual property rights are governed as follows:

• Client retains ownership of their original content and data
• ScriptShifu retains ownership of proprietary tools and frameworks
• Custom code developed for clients becomes their property upon final payment
• ScriptShifu may use anonymized work for portfolio purposes
• Third-party components remain under their respective licenses

6. Confidentiality

We are committed to maintaining the confidentiality of your information:

• All client information is treated as confidential
• We sign NDAs when required
• Access to client data is limited to authorized personnel
• We implement appropriate security measures
• Confidentiality obligations survive termination of services

7. Limitation of Liability

ScriptShifu's liability is limited as follows:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for services
• We are not responsible for third-party services or components
• Force majeure events are excluded from liability
• Clients must notify us of issues within 30 days

8. Warranty and Support

Our warranty and support terms include:

• 90-day warranty on custom development work
• Bug fixes and critical issues addressed promptly
• Support hours: Monday-Friday, 9 AM - 6 PM PST
• Emergency support available for enterprise clients
• Warranty does not cover third-party components

9. Termination

Either party may terminate services as follows:

• Written notice required 30 days in advance
• Payment for completed work is due upon termination
• Client data will be returned or deleted as requested
• Confidentiality obligations continue after termination
• Immediate termination for breach of terms

10. Dispute Resolution

Disputes will be resolved as follows:

• Parties agree to attempt mediation first
• Arbitration may be used if mediation fails
• Governing law is the state of California
• Venue for legal proceedings is San Francisco County
• Each party bears their own legal costs

11. Changes to Terms

We may update these terms from time to time:

• Changes will be posted on our website
• Continued use constitutes acceptance of changes
• Material changes require written notice
• Clients may terminate if they disagree with changes
• Previous terms apply to completed projects
